What Is a Special PoA

A Special Power of Attorney grants authority for one defined act, then ends

A Special Power of Attorney (SPA), also called a Limited Power of Attorney, is a written instrument by which the Principal authorises an Agent to carry out one specific act or transaction on their behalf. The moment that act is completed, the SPA automatically comes to an end.

Like all PoAs, an SPA operates on the law of agency under Chapter X of the Indian Contract Act 1872, and the term Power of Attorney is defined under Section 1A of the Powers of Attorney Act 1882. What sets the Special PoA apart is its narrow, single-purpose scope. It grants exactly the authority needed for one task and nothing more, which makes it the safest and most common PoA type in everyday use.

A Special PoA is used for a single property sale, one court appearance, signing a specific set of documents, completing one bank transaction, registering one vehicle sale, or representing the principal in one specific dealing. Because it dies with the act, an SPA limits the agent's exposure window and is far harder to misuse than a broad General PoA.

For property transactions, the Suraj Lamp ruling (2011) is just as relevant to a Special PoA: the PoA does not transfer ownership. It only authorises the agent to execute the Sale Deed. Title still passes through the registered deed itself, never through the PoA. A Special PoA for a property sale must be registered under Section 17 of the Registration Act 1908.

When You Need a Special PoA

Six situations where a Special PoA is the right choice

A Special PoA fits any one-off task where you cannot be present in person. It grants exactly the authority needed for that single act, which keeps your risk low and gets the document accepted without fuss.

Single Property Sale or Purchase

You are selling or buying one specific property but cannot attend the Sub-Registrar in person. An SPA authorises your agent to execute the Sale Deed for that one property. It must be registered under Section 17 of the Registration Act 1908.

One Court Appearance or Filing

You need someone to appear, file, or represent you in a single court matter or before one authority. The SPA defines the exact case and the exact powers, so the court accepts the authority without questioning its scope.

A Single Bank Transaction

Operating one fixed deposit, closing one account, or completing one specific banking instruction. Banks prefer a narrow, dated SPA naming the exact branch, account, and act over a sweeping General PoA they are reluctant to honour.

Signing One Set of Documents

Executing a specific agreement, a loan document, a society transfer form, or a set of company filings on your behalf. The SPA names the documents precisely so there is no ambiguity about what the agent may sign.

One Vehicle or Asset Transfer

Transferring a single vehicle at the RTO, or completing one defined asset transfer. The SPA covers that one transaction and lapses once the transfer is recorded, so it cannot be reused for anything else.

NRI One-Time Indian Task

An NRI handling one Indian matter from abroad: selling one flat, closing one account, or signing one agreement. The SPA is drafted to Indian standards, then apostilled or Embassy-attested in your country. The single-act scope keeps cross-border verification simple.

How a Special PoA Works

Four things that make a Special PoA different from a General PoA

A Special PoA and a General PoA are drafted from the same legal foundation, but they behave very differently. These four distinctions are why the SPA is the safer default for most one-off needs.

Single Defined Purpose

The SPA names exactly one transaction. The agent cannot use it for anything beyond that act. A General PoA, by contrast, grants broad authority across many matters, which is far easier to misuse.

Automatic Termination

The SPA ends on its own the moment the defined act is completed. There is no open-ended authority sitting around to be misused later. A General PoA stays live until it is formally revoked or the principal dies.

Lower Stamp Duty

A non-property SPA attracts only nominal stamp duty in most states (often ₹100 to ₹500). A property SPA is charged like other property PoAs. Either way it is usually cheaper to execute than a broad General PoA with property powers.

Easier Acceptance

Banks, registrars, and courts accept a narrow, dated, single-purpose SPA more readily than a sweeping General PoA, which they often scrutinise or reject. The tighter the scope, the smoother the execution.

A Power of Attorney does NOT transfer ownership

The Supreme Court ruled in 2011 that property ownership cannot be transferred through a Power of Attorney "sale." Common "GPA sales" don't pass title. A PoA only authorises the agent to execute a Sale Deed or Gift Deed. The title transfer happens through the registered deed itself, not through the PoA. This judgment ended widespread "GPA sale" practices across India.

Key Clauses Every PoA Must Have

Eight essential clauses we draft into every Special PoA

Most PoA disputes trace back to missing or vague clauses. These are the ones that make the document airtight, auditable, and accepted at every counter.

Parties Clause

Full legal names, ages, addresses, PAN, and Aadhaar of Principal and Agent. Multiple agents (joint or several) must be named explicitly with the relationship described.

Recitals (Whereas Clauses)

Context: why this PoA is being granted (NRI absence, illness, business travel, court matter). Establishes the legitimate purpose and protects against later misuse claims.

Powers Granted Schedule

The most critical clause. Lists each specific power: sell property, open bank accounts, sign sale deed, appear in court, collect rent, file tax returns. Powers not listed are not granted.

Powers Excluded Clause

Explicit list of acts the agent cannot do: cannot gift property, cannot mortgage, cannot transfer to themselves, cannot delegate to a sub-agent. Critical for risk control.

Duration & Validity

Effective date, expiry date (if any), conditions for automatic termination (completion of act, sale closure, lawsuit conclusion). Without this, the PoA can run indefinitely.

Durability Clause

If this is a Durable/Medical PoA, the clause explicitly states it survives the Principal's mental or physical incapacity. Section 202 Contract Act applies for “coupled with interest” cases.

Revocation Mechanism

How the Principal can revoke: written notice, public notice in newspaper, registered revocation deed. For registered PoAs, the revocation must be registered in the same Sub-Registrar's office.

Two independent witnesses for execution. Names, addresses, signatures. For NRI PoAs, executed before consular officer or foreign notary with apostille.

Stamp Duty & Registration Charges

Stamp duty and registration for a Special PoA

A Special PoA attracts nominal stamp duty in most states when it does not involve property (often ₹100 to ₹500). A Special PoA for a property sale is stamped and registered like other property PoAs, based on state rules and the relationship between principal and agent.

Section 17 of the Registration Act 1908 makes registration mandatory where a PoA grants the agent authority to sell, mortgage, lease for over a year, or otherwise permanently alienate immovable property. Without registration, such PoAs are legally ineffective.

Most states offer concessional stamp duty for PoAs granted to close relatives (spouse, parent, child, sibling). For property-related PoAs granted to non-relatives, stamp duty is generally calculated on property market value, broadly comparable to sale duty. Where a Special PoA typically fails, and how we prevent it

Most PoA disputes trace back to template drafting, vague scope, missing registration, or PoA holders exceeding authority. These are the failure points we guard against.

Treating GPA and SPA Interchangeably

A common mistake by template platforms. A General PoA is used where a Special PoA was sufficient (over-grants powers), or a Special PoA is used where a General was needed (under-grants powers). Both fail at the counter.

Skipping Registration for Property PoAs

Section 17 Registration Act 1908 makes registration mandatory if the PoA permits sale, mortgage, or lease (over 1 year) of immovable property. Unregistered property PoAs are legally ineffective. The agent cannot execute a valid sale deed.

Foreign Stamp Paper Used for NRI PoAs

NRIs sometimes execute the PoA on foreign stamp paper, thinking it's equivalent. It's not. Indian PoAs must be on standard A4 paper, with Indian stamp duty paid within 3 months of the document arriving in India.

Vague or Open-Ended Powers

“Authorise my agent to do all acts necessary in connection with my property” is too vague. Banks and Sub-Registrars often reject such clauses, demanding specific powers.

No Powers Excluded Clause

Most templates only list powers granted. They don't list powers excluded. Agents can argue that anything not explicitly forbidden is permitted, leading to abuse: gifting property to themselves, mortgaging without consent.

Missing Revocation Mechanism
